General Sales Terms and Conditions
Based on the HTS General Sales Terms and Conditions effective 26 June 2025. Current presentation for this catalogue website. Individual written agreements and mandatory statutory rights take precedence.
Browsing, downloading a catalogue or sending an enquiry does not place an order. For virtual compounds, feasibility, quantity, specifications, price and delivery time must be agreed before synthesis.
1. Validity
These terms apply to sales by HTS Biochemie-Innovationen GmbH. Deviations require the Seller’s written confirmation.
2. Website information
The Seller aims to keep information accurate and current but website errors or omissions may occur. Catalogue information is not a warranty.
3. Quality control and research use
Samples and compounds, including materials supplied on behalf of the MDPI Sustainability Foundation, are not subject to quality control unless expressly stated. They are intended for research and development and must be handled by qualified personnel. Available analytical data, such as proton NMR spectra, can be requested after ordering; any costs require approval of a written estimate. Availability of safety documentation must be clarified for the substance. Mandatory duties to provide safety information remain unaffected.
4. Patents
The Seller does not assess patent infringement. The Buyer is responsible for checking applicable intellectual property rights in the relevant jurisdiction.
5. Quotations
Quotations are non-binding and subject to these sales terms, including the provisions on information, research materials, patents, pricing, payment, delivery and shipping.
6. Prices
The invoice currency is EUR or USD as confirmed by the Seller. Prices are Ex Works (EXW), include handling and standard packaging unless agreed otherwise, and exclude shipping, customs duties, taxes and other additional fees unless expressly included. Prices for later orders may change.
7. Payment and ownership
Unless otherwise agreed, invoices are payable within 30 days without deduction in the invoiced currency. The Buyer bears bank charges. Prepayment may be required in individual cases. Goods remain the Seller’s property until full payment.
8. Delivery
Deliveries use Incoterms® 2020. Delivery dates are estimates. Subject to mandatory law, delay alone does not entitle the Buyer to cancellation or damages. The Seller is not responsible for delays arising from unforeseen events such as strikes, official measures or force majeure affecting manufacture, transit or destination.
9. Shipping
Unless otherwise agreed, the Seller selects the shipping method. Special shipping requests may incur extra charges. The Buyer bears customs duties, import or export taxes and related charges. Risk of loss or damage does not by itself remove the obligation to pay, subject to mandatory law and agreed delivery terms.
10. Complaints
Inspect goods on receipt. Report damage or discrepancies to the carrier within eight days and send a copy to the Seller. The Buyer must substantiate a complaint. A complaint does not by itself suspend payment obligations, subject to statutory rights.
11. Confidentiality and personal data
Personal data is used for internal business purposes, including order handling and service improvement, in accordance with applicable data protection law. Individuals may exercise their statutory rights. The Privacy Policy describes the website’s providers and processing.
12. Resale, release and export
The Seller’s published terms exclude liability arising from the Buyer’s resale, release or export of goods, including to the USA or Canada, subject to mandatory statutory liability.
13. Amendments
Revised terms apply to transactions taking place after publication of the revised version.
14. Governing law and jurisdiction
German law applies. The stated place of performance and jurisdiction is Hamburg, Germany, insofar as legally permissible.
